Ammendments to the OBU Constitution
Amendments to the Constitution of St. Benedict’s College Old Boys’
Union to be proposed at the Annual General Meeting of the Old Boys’
Union to be held on the 21ST June 2009

1. Article 1 (2) Address :

Article 1 (2) be deleted and the following substituted therefore –

“The address of the Union shall be the official address of St. Benedict’s College”

2. Article 5 Enrolment & Fees :

Article 5, as amended at the Special General Meetings of the Old Boys’ Union held on 25th October 1992 and 7th May 2000 and at the meeting of the Council held on 14th May 2009, be deleted and the following substituted therefore-

“An application for membership shall be made on the prescribed form, duly proposed and seconded by two existing members, one of whom shall be a member of the Council”.

The application shall be accompanied by –

(a) a Life membership fee of Five hundred (Rs.500/-) in the case of an applicant, who applies for membership within one year from the date of his leaving the College; or

(b) a Life membership fee of Three thousand Rupees (Rs.3,000/-) in the case of other applicants for membership.

Applications shall be forwarded to the Hony. General Secretary, who shall submit them to the Council for consideration.

Old Boys of the College, who are Priests or Religious, shall be exempted from the payment of this fee.

The Council shall periodically review the life membership fee and vary it as it may deem appropriate by a two third majority of the members of the Council. Provided, however, that every variation of such fee shall be placed by the Council on the Agenda of the next Annual General Meeting of the Union immediately following such variation, for ratification, and any such variation which is not so ratified shall be deemed to be rescinded from the date of such non-ratification, without prejudice however to anything previously done thereunder”.


3. Article 6 Council :

(a) article 6 (1) (b) be deleted and the following substituted therefore-

“(b) Twenty four (24) Council Members, of whom the President of the Old Benedictines Sports Club, the President of St. Benedict’s College Old Boarders’ Association and the Secretary of St. Benedict’s College Development Fund, shall be ex-officio members”.

(b) Article 6 (2), as amended at the Special General Meeting of the Union held on 25th October 1992, be deleted and the following substituted therefore-

“All Office Bearers (other than the ex-officio members, referred to in Article 6 (1) (a)) and the Twenty four (24) Council members (other than the ex-officio members, referred to in Article 6 (1) (b)), shall be elected at the Annual General Meeting. Nominations in respect of the Office Bearers and Council Members to be elected at the Annual General Meeting, duly proposed and seconded by members eligible to vote at a General Meeting, should reach the Hony. General Secretary at least seven (7) days before the Annual General Meeting and such Office Bearers or Council Members shall be elected from among such nominations. In the event of there being no such nominations for any of such Office Bearers or Council Members, such Office Bearer/s or Council Members/s shall be elected at the Annual General Meeting from among eligible members present at such meeting. In the event of any of the ex-officio Council Members, referred to in Article 6 (1) (b), being nominated as a Vice Patron under Article 3 (2) (c), or being elected as an Office Bearer, referred to in Article 6 (1) (a), an eligible member from among such nominations or those present at the Annual General Meeting (as the case may be) shall be elected to the Council at such Meeting in place of such ex-officio Council member.

4. Article 8 Duties & Functions :

(a) Article 8 (1) be deleted and the following substituted therefor-

“(1) The Council shall, subject to the directions of the Union, determine the general policy and guide the activities of the Union”.

(b) Article 8 (2) be deleted and the following substituted therefor-

“The Hony. General Secretary shall perform all the secretarial function and maintain Minutes Book, a Registrar of Members and such other records of Union, including its Archives”.


5. Article 9 Council Meeting :

Article 9 (2) be deleted and the following substituted therefor-

“(2) At least three (3) clear days’ notice of such a meeting shall be given to each member of the Council by a signed or electronic communication or by such other means as the Council may from time to time determine”.


6. Article 10 Annual General Meeting

Article 10 be deleted and the following substituted therefor-

“The Annual General Meeting of the Union shall be held not later than 30th June of each
year”.


7. Article 12 General Meeting :

Articles 12 (4) and 12 (5) be deleted and the following substituted therefor-

“(4) AGENDA The Agenda for a General Meeting shall be issued, in such manner as the Council may from time to time determine, to every member, at least seven (7) days before the meeting”.

“(5) ANNUAL Report The annual Report together with the Audited Accounts shall be issued, in such manner as the Council may from time to time determine, to every member, at least seven (7) days before the Annual General Meeting”.


8. Article 15 Financial Year :

Article 15 be deleted and the following substituted therefor-

“The Financial Year of the Union shall be 1st April to 31st March of each year”.


9. Article 16 Audit :

Article 16 be deleted and the following substituted therefor-

“The Annual Accounts of the Union shall be audited by the Hony. Auditor on or before 15th May following the end of each Financial Year”.



10. Article 20 Application of Funds :

Article 20 be deleted and the following substituted therefor-

“The Funds of the Union shall be devoted to and applied for the promotion of the Objects of the Union set out in Article 2.


11. Article 24 Matters not provided for :

Article 24 be deleted and the following be substituted therefor-

“In any matter not provided for in these rules, the decision of the Council shall be final, subject to ratification by the Union.
